Terms of service

Last updated 27 October 2026

1. About these terms

These terms are an agreement between Zimpla ("Zimpla", "we", "us"), a New Zealand company, and the business that signs up to use Zimpla software, including Freight Manager ("you"). Our software and any related apps, websites and support are called "the Service".

By starting a free trial or a subscription, you agree to these terms. If you accept them on behalf of a business, you confirm that you're authorised to do so. These terms include our billing, cancellation and refunds policy and our privacy policy.

2. The Service

Zimpla is online business software. Its first product, Freight Manager, helps businesses bring in orders, compare carrier rates, create shipments and labels, prepare manifests and track deliveries. It runs in a web browser, with an optional Windows app for label printing.

Freight Manager is in early access. We're onboarding customers a few at a time and improving the Service continuously. Features may be added or changed; if we remove a feature you rely on, we'll tell you in advance where we reasonably can.

3. Your account

4. Trial, fees and payment

Each subscription starts with a 14-day free trial. After the trial, fees for your chosen plan are charged monthly in advance in the currency shown for your plan, plus GST or other sales tax where it applies, by card through our payment provider Stripe. Plan prices and limits are shown on our pricing. Full details of billing, plan changes, cancellation and refunds are in our billing, cancellation and refunds policy.

We'll give you at least 30 days' notice by email before a price change affects your bill.

5. Carriers and other services you connect

To create shipments you connect your own accounts with carriers such as TGE, NZ Post, DHL Express, Zappy and the Freightways courier brands (Post Haste, NZ Couriers and Castle Parcels). You may also connect an online store or Xero. When you do:

Rates shown in Freight Manager come from your carriers and are a guide. The amount you pay for freight is what your carrier bills you.

6. Your data

You own the data you put into Freight Manager, including your orders, shipments and your customers' delivery details. You give us permission to store and process that data only so we can provide, secure and support the Service.

You're responsible for having the right to give us your customers' personal information and for meeting your own obligations under the Privacy Act 2020. We handle personal information as described in our privacy policy.

If you cancel, you can ask for an export of your data for 30 days after your access ends. After that we delete it within 90 days, except where the law requires us to keep it.

7. Acceptable use

You agree not to:

8. Availability and support

We work to keep the Service available and reliable, but we can't promise it will never be interrupted. We'll try to carry out planned maintenance outside New Zealand business hours. Support is by email at hello@zimpla.work on New Zealand working days.

9. Intellectual property

Zimpla owns the Service and all the software, designs and content in it. While your subscription is active, you have a non-exclusive, non-transferable right to use it for your own business. If you send us suggestions, we may use them to improve the Service without owing you anything.

10. Business use

The Service is supplied for business purposes. To the extent the law allows, the Consumer Guarantees Act 1993 does not apply, and we both agree that it is fair and reasonable to contract out of sections 9, 12A, 13 and 14(1) of the Fair Trading Act 1986.

11. Liability

To the extent the law allows:

Nothing in these terms limits liability that cannot be limited by law.

12. Suspension and ending the agreement

You can cancel at any time as described in our billing, cancellation and refunds policy. We may suspend or end your access if fees are unpaid as described there, or if you seriously breach these terms and don't fix the breach within 14 days of us asking you to. We may suspend access straight away if that's needed to protect the Service or other customers.

13. Changes to these terms

We may update these terms from time to time. If a change materially affects you, we'll email you at least 30 days before it takes effect. If you don't agree with the change, you can cancel before then.

14. Governing law

These terms are governed by New Zealand law, and the New Zealand courts have jurisdiction.
